1. Terms of Service
1.1 Acceptance of Terms
By registering on KairosTradingAgents.com and using any of our services you agree to be bound by these Terms of Service. If you do not agree you must not use our platform.
1.2 Eligibility
You must be 18 years or older to use this platform. By registering you confirm you are of legal age in your jurisdiction. You confirm you are legally permitted to trade financial instruments in your country of residence.
1.3 Account Registration
You agree to provide accurate and truthful information during registration. You are responsible for maintaining the confidentiality of your account credentials. You are responsible for all activity that occurs under your account. One account per person — multiple accounts are prohibited and will result in permanent termination.
1.4 Service Description
Kairos Trading Agents provides automated trading software that connects to third-party broker accounts via API. We do not hold client trading funds. We do not provide financial advice. We do not guarantee trading results. Our agents execute trades based on algorithmic signals — not human judgment.
1.5 Commission and Fees
By activating an agent you agree to pay commission on winning trades as follows:

Commission is collected daily at midnight UTC via USDC escrow deduction. Agents pause automatically when escrow balance reaches zero. Kairos is not liable for missed trades during escrow top-up period.
1.6 PropFirm Accounts
For proprietary trading firm evaluation accounts a $60 activation fee applies per agent. Commission applies on simulated profit and loss during evaluation phase. Kairos makes no guarantee that agents will pass evaluation challenges. Evaluation fees are non-refundable.
1.7 Referral Programme
Users may earn 0.5% referral commission on winning trades of referred users. Referral commission is paid from Kairos revenue — not from the referred user's profits. Referral commission is paid weekly every Friday to connected Web3 wallet. Minimum payout threshold is $10 USDC. Kairos reserves the right to modify or terminate the referral programme at any time.
1.8 Prohibited Conduct
You agree not to:
- Create multiple accounts to circumvent tier limits
- Use VPNs or proxies to bypass geographic restrictions
- Attempt to manipulate commission calculations
- Reverse engineer or copy our trading strategies
- Share your account credentials with third parties
- Use the platform for any unlawful purpose
1.9 Termination
Kairos reserves the right to terminate any account at any time for violation of these terms. Upon termination any uncommitted escrow balance will be returned to the user's connected wallet within 7 business days less any outstanding commissions owed.
2. Cryptocurrency & Web3 Risk Disclosure
2.1 Unregulated Nature
Cryptocurrency assets including USDC on Solana are not regulated by the South African Reserve Bank (SARB) or the Financial Sector Conduct Authority (FSCA). Crypto assets do not have the same legal protections as traditional financial instruments. You use crypto payment features entirely at your own risk.
2.2 Wallet Security
You are solely responsible for the security of your Web3 wallet. Kairos Trading Agents cannot recover lost wallet access, lost seed phrases or stolen funds. We strongly recommend storing seed phrases offline in a secure location. Never share your seed phrase with anyone including Kairos staff.
2.3 Irreversible Transactions
All blockchain transactions are irreversible once confirmed. Kairos is not liable for funds sent to incorrect wallet addresses. Always verify wallet addresses before confirming any transaction.
2.4 Smart Contract Risk
Commission escrow is managed via Solana smart contracts. While smart contracts are publicly auditable, code errors or network failures could theoretically affect fund availability. Kairos will make reasonable efforts to resolve any smart contract issues but cannot guarantee against technical failures in the Solana blockchain infrastructure.
2.5 USDC Stability
USDC is a stablecoin pegged to the US Dollar. While USDC is designed to maintain a 1:1 peg with the US Dollar this peg is not guaranteed. Kairos is not liable for any USDC depegging events.
2.6 Exchange Control
South African users are subject to SARB exchange control regulations regarding offshore crypto transactions. Users are solely responsible for compliance with applicable exchange control rules and tax obligations. Kairos does not provide tax or legal advice.
2.7 Network Fees
Transaction fees on the Solana network are payable by the user. These fees are minimal but may vary based on network congestion. Kairos is not responsible for network fee fluctuations.
2.8 Supported Wallets
Kairos currently supports Phantom, MetaMask and WalletConnect compatible wallets. Support for specific wallets may change without notice. Kairos is not affiliated with any wallet provider.
3. Trading Risk Disclosure
3.1 Risk of Loss
Automated trading does not eliminate trading risk — it automates the execution of strategies that may produce losses. Market conditions can change rapidly and unpredictably due to economic events, geopolitical factors, and sentiment shifts no algorithm can predict.
3.2 No Guarantee of Profit
Kairos Trading Agents makes no representation that any agent strategy will be profitable. All strategies are based on historical technical analysis and past performance is not indicative of future results. Market conditions change and strategies that performed well historically may perform poorly in future.
3.3 Leverage Risk
Trading with leverage amplifies both profits and losses. Users who enable leverage on their broker accounts do so at their own risk. Kairos agents will execute trades according to configured settings regardless of leverage applied.
3.4 Broker Risk
Kairos connects to third-party brokers via API. We are not responsible for broker failures, insolvency, execution delays or API downtime. Users should only use regulated brokers and understand the risks associated with their chosen broker.
3.5 Technology Risk
Automated trading depends on continuous internet connectivity, server availability and API access. System outages, network failures or API rate limit exceeded events may cause agents to miss trades or fail to execute stop losses. Kairos is not liable for losses resulting from technology failures.
3.6 PropFirm Risk
Proprietary trading firm challenges involve specific rules regarding drawdown limits and profit targets. Kairos agents are configured to respect these limits but cannot guarantee challenge pass rates. Users are responsible for understanding their PropFirm rules and monitoring agent activity.
4. Privacy Policy (POPIA Compliant)
4.1 Information We Collect
We collect the following personal information:
- Full name and email address
- Phone number (for verification)
- IP address and device fingerprint (for security)
- Broker API keys (encrypted with AES-256)
- Solana wallet address (public key only)
- Trading activity data (for commission calculation)
4.2 How We Use Your Information
Your information is used to:
- Provide and improve our services
- Calculate and collect trading commissions
- Send service notifications and alerts
- Prevent fraud and account abuse
- Comply with legal obligations
4.3 POPIA Compliance
Kairos Trading Agents processes personal information in accordance with the Protection of Personal Information Act 4 of 2013 (POPIA). You have the right to access your personal information, request corrections and request deletion subject to our legal retention obligations. 4.4 Data Security
All broker API keys are encrypted using AES-256 encryption before storage. We use Firebase Authentication and Google Cloud infrastructure with industry-standard security practices. No personal financial data is stored beyond what is necessary for service provision.
4.5 Data Sharing
We do not sell your personal information to third parties. We share data only with:
- Google Firebase (infrastructure provider)
- Solana blockchain (public transaction records)
- Your connected broker (API trading only)
4.6 Data Retention
Account data is retained for 5 years after account closure for legal and compliance purposes. You may request earlier deletion subject to applicable laws.
4.7 Cookies
Our platform uses essential cookies for authentication and session management only. We do not use advertising or tracking cookies.
5. Escrow Terms
5.1 Commission Escrow
To use Kairos agents all users must maintain a minimum USDC commission escrow balance:

5.2 Automatic Deduction
Commission is automatically deducted from escrow daily at midnight UTC. You will receive a notification when your balance falls below $20 USDC. Your agent will pause automatically when escrow reaches zero.
5.3 Refund Policy
Unused escrow balance may be withdrawn at any time after settling all outstanding commissions. Refunds are processed within 7 business days to your connected wallet. Subscription fees are non-refundable once the billing period has commenced.

- Financial advice as defined under the FAIS Act
- Collective investment scheme services
- Discretionary portfolio management
- Securities dealing services
Our platform provides automated trading software tools only. Users retain full control of their trading accounts and broker relationships at all times. Kairos agents execute trades via broker API on instructions configured by the user.
7. Limitation of Liability
To the maximum extent permitted by applicable law, Kairos Trading Agents, its directors, employees and affiliates shall not be liable for:
- Any trading losses incurred while using our agents
- Loss of profits or anticipated savings
- Loss of data or system outages
- Smart contract technical failures
- Broker API failures or execution delays
- Losses arising from market volatility
- Any indirect, consequential or special damages
8. Governing Law
These terms are governed by the laws of the Republic of South Africa. Any disputes shall be subject to the exclusive jurisdiction of the South African courts. Users outside South Africa acknowledge they are using the platform under South African law.
8.1 Dispute Resolution
Before initiating formal legal proceedings both parties agree to:
- Notify the other party in writing of the nature of the dispute
- Allow 30 days for good-faith negotiation to resolve the dispute
- If unresolved, refer the matter to a mutually agreed mediator under the Mediation Rules of the Arbitration Foundation of South Africa (AFSA)
- If mediation fails, proceed to formal litigation in the South African courts
8.2 Consumer Protection
Nothing in these Terms is intended to limit any rights you may have under the Consumer Protection Act 68 of 2008 (CPA) or the Electronic Communications and Transactions Act 25 of 2002 (ECTA) that cannot be excluded by agreement.
8.3 Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
