1. Overview
These Terms of Service ("Terms") govern your use of Kairos Auto Trading Agents ("Kairos", "we", "our"). By creating an account or activating a trading agent, you agree to these Terms in full.
Kairos provides automated algorithmic trading agents that execute trades on your behalf on 3rd-party broker platforms using your API credentials.
2. Fee Structure
Monthly Subscription: $60 USD per active agent, billed at the end of each calendar month based on the number of agents that were active during that month.
Performance Commission: 10% of gross profit on every individually closed profitable trade. Commission is deducted instantly upon trade close via your saved payment method.
- Commission is only charged on trades where PnL > 0 (profitable trades).
- Losing trades incur zero commission. The full loss is borne by the client.
- Commission is calculated per individual trade, not on aggregate monthly performance.
- Monthly subscription is charged regardless of trading performance.
3. Client Funds & Custody
Kairos never holds, custodies, controls, or has access to client funds.
- Your trading capital remains in your 3rd-party broker account at all times.
- Kairos API access is limited to trading permissions only. We do not request, hold, or use withdrawal API permissions.
- Commissions are charged via your Stripe or Paystack payment method, completely separate from your broker account.
- Kairos is not a money transmitter, investment advisor, or fund manager.
4. Payment & Billing
- By activating an agent, you authorize Kairos to charge your saved payment method for monthly subscription fees and trade commissions.
- If a monthly subscription payment fails, all your agents will be automatically paused. You will be notified by email.
- Agents remain paused until you update your payment method and payment succeeds.
- If a commission charge fails, Kairos will retry once. Persistent failures are flagged for admin review. The agent continues trading.
- All charges are in USD unless using Paystack (NGN equivalent).
- No refunds are issued for partial months or for losing trading periods.
5. API Key Security
- Your broker API keys are encrypted using AES-256-CBC before storage.
- Encryption keys are stored exclusively in Google Cloud Secret Manager.
- No Kairos employee or system has access to your raw API credentials in plain text without audit logging.
- Every access to your decrypted API keys is logged with timestamp, user ID, and function name.
- Kairos is not liable for unauthorized broker account access caused by you sharing your API keys, using keys with excessive permissions, or breach of your own device security.
6. Risk Disclosure
Trading financial instruments involves substantial risk of loss and is not appropriate for all investors.
- You may lose some or all of your invested capital.
- Past performance of Kairos agents is not indicative of future results.
- Algorithmic trading strategies can fail under unusual market conditions, including extreme volatility, data feed disruptions, or broker execution issues.
- Kairos is not liable for trading losses incurred through the use of our agents.
- You are solely responsible for the trading decisions enabled by activating a Kairos agent.
7. Agent Activation & Cancellation
- By clicking "Accept & Activate Agent" in the agent creation modal, you explicitly agree to these Terms for that agent.
- You may pause or stop any agent at any time from your dashboard.
- Paused agents do not trade but still count toward your monthly subscription if paused for part of the month.
- Stopped agents cannot be restarted. A new agent must be created.
8. Data & Privacy
- Kairos collects your email, name, broker API keys (encrypted), and trading history solely for providing the service.
- Trade data is stored in Google Firestore (GCP) in the kairos-trading-agents project.
- We do not sell your personal data or trading history to third parties.
- All audit logs are retained for 12 months.
9. Termination
Kairos reserves the right to terminate or suspend accounts that violate these Terms, fail to pay subscription fees, or engage in abuse of the platform. You may cancel your account at any time by stopping all agents and contacting support.
10. Governing Law
These Terms are governed by applicable law. Disputes shall be resolved through binding arbitration before any court proceeding. Kairos makes no representations regarding the legality of algorithmic trading in your jurisdiction — you are responsible for compliance with local laws.
